Welcome to Clear'd. These Terms of Service ("Terms") govern your access to and use of the Clear'd platform, websites, applications, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility and Account Registration

Unless otherwise stated:

• Fees already paid are non-refundable, except where required by law
• Cancellation prevents future renewals but does not automatically create a refund for prior periods

You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as explicitly allowed by law or written permission.

To the maximum extent permitted by law, Clear'd and its affiliates, officers, employees, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption arising out of or related to your use of the Services.

Where liability cannot be excluded, liability is limited to the amount paid by you to Clear'd for the Services in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Clear'd and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of law or rights of a third party

13. Termination

We may suspend or terminate your access to the Services at our discretion, including if you violate these Terms or applicable law.

Upon termination, your right to use the Services ceases immediately. Provisions that by nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, and dispute provisions.

14. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction of Clear'd's principal place of business, without regard to conflict of law principles.

You and Clear'd agree to attempt to resolve disputes in good faith before initiating formal proceedings.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services or by other reasonable means. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
